Redwood Sequoia Terms - The Small Print!
This terms of use agreement (Terms and Conditions) governs your use of the Redwood website – it works in conjunction with the Redwood Privacy Statement. By using the Redwood website you are indicating your acceptance to be bound by the terms contained within these documents.
If you do not accept the terms stated herein, please do not use the online services provided by the Redwood website. Please note that third party contributors (including advertisers) may have additional terms for the use of their respective services.
Definitions
“Redwood” or “We” refers to Redwood Sequoia Limited t/a Redwood of PO Box 4480, Coventry, CV4 0DJ, a limited company registered in England and Wales (registration number 06000085) and includes our officers, employees and authorised agents. The “site” or “website” in this instance refers to the website located at www.redwood-sequoia.co.uk and the content and services contained within it. The "communications" refers to the Redwood e-newsletter and other marketing materials that we distribute intermittently. The Redwood "service" and "material" refer to both the Redwood website and communications. “You” or “your” or “the user” means any person using our site or any visitor to it.
Your responsibilities
Redwood grants you a non-exclusive licence to access and use our website and communications for your personal purposes only. You are entitled to access, download and transmit (for the purposes expressly permitted in these Terms and Conditions) and store the Redwood material for your own personal, non-commercial use. You may not restrict or inhibit any other person from using our site or communications. You will not use our site or communications in any part of the world (i.e. any jurisdiction) where it may be prohibited by applicable law.
You must not send, receive, upload, download, store, use, distribute or publish any material that is offensive, abusive, indecent, defamatory, obscene, or in breach of any other person's Intellectual Property Rights or breaches any obligation of confidentiality by which you are bound. You must not send or distribute multiple unsolicited e-mails or messages ('Spam') or to cause any other person annoyance, inconvenience or worry; and for any purposes connected to any business, including sending any unsolicited advertisements or promotional material;
On occasion Redwood may welcome your contribution to our site but we shall have no obligations with regard to any submitted content (user generated content) to monitor and ensure that it complies with applicable laws or regulations. You remain solely responsible for any user generated content to ensure compliance with these terms. If you submit anything that contains the name or pictorial representation (photographic or otherwise) of any living person and/or any part of any living person and/or any copy by which any living person is or can be readily identified, you warrant that you have obtained the authority of such living person to make use of such name, representation and/or copy.
You will be liable to us for any damage or loss we may suffer due to any unauthorised or unlawful use of our site by you or any unauthorised use of any means of secured access we provide you with or any breach of these terms and conditions of use by you.
Redwood reserves the right to withdraw and/or refuse to publish user generated content if it reasonably believes that it may make Redwood or you liable to any complaint, claim or proceedings.
Changes to the Redwood site / communications
Redwood reserves the right at any time, to change or discontinue any aspect or feature of our site or content including our communications. We also reserve the right to impose limits on certain features and services or restrict your access to parts or all of the site without notice or liability. We reserve the right to withdraw this website at any time.
Intellectual property
The Redwood site and communications contains material that is copyrighted, trademarked or bound by other propriety information. Without limiting the scope of Redwood’s intellectual property rights, you acknowledge that Redwood and/or its licensors own the intellectual property rights contained in the Redwood material (including but not limited to copyright, database rights, trade marks, patents, service marks, design rights (whether registerable or otherwise) know-how, trade or business names, domain names, goodwill associated with any of the foregoing and other similar rights or obligations whether registerable or not in any jurisdiction in the world.
In using the service for your personal use you must not remove any notices relating to the ownership of copyright or other Intellectual Property Rights in the Redwood Material; modify, translate, reverse engineer, reproduce, decompile, disassemble (except as expressly permitted by law) or create derivative works of any of the Redwood Material; rent, lease, sub-licence, loan, copy or give or transfer any rights in the Redwood material in any form, to any person or entity without the prior written consent of Redwood.
Regarding any submissions you make to the site You agree that any material (including any Intellectual Property Rights in such material), including but not limited to forums, bulletin boards or articles or stories submitted for publication on the website ("User Generated Content") may be retained and used by Redwood. You further agree to indemnify and hold harmless Redwood from and against any claim that your user generated content infringes the copyright, trademark or other intellectual property rights of any person or that it is defamatory or infringes any other right of any person.
Third party content and links
The Redwood site and communications may sometimes include content provided by third parties. Any opinions, advice, statements, services, offers or other information or content expressed or made available by third parties are those of the respective authors, not of Redwood. Neither Redwood nor any third-party contributor guarantees the accuracy, completeness, or usefulness of any content. Redwood accepts no liability for any loss or damage caused by your reliance on information obtained through our service.
The service also contains links to other internet sites and third-party resources over which we have no control. These links are provided for your convenience and information. We are not responsible or liable for either the availability of these outside resources, their content, or any products or services you may acquire through or from them.
The goods and services ("Merchandise") which may be purchased by you from companies other than Redwood ("Merchants") via third parties and/or third party web sites linked to this Web Site including without limitation co-branded websites are subject to separate terms and conditions between you and the applicable Merchant. You acknowledge that the applicable Merchant (and not Redwood) is solely responsible for the legal fulfilment of orders for such Merchandise and for its quality, suitability and fitness for purpose. You also acknowledge that the selection of any Merchant or the purchase of any item of Merchandise from the information available on the website or the Merchant's web sites is solely your choice. Any disputes or questions relating to the Merchandise shall be directed to the Merchant in question and you acknowledge that Redwood shall have no responsibility, obligations or liability in relation to the Merchandise.
Warranties, Representations & Liabilities
The Redwood site is provided “as is” without warranties of any kind, either express or implied, including without limitation warranties of title, non-infringement, non-interference, accuracy of data, completeness, timeliness, merchantability, or fitness for a particular purpose, other than those warranties which are implied by and incapable of exclusion, restriction or modification under the laws applicable to this agreement.
Without limiting the foregoing, neither Redwood nor its affiliates, licensors, contributors, or agents warrant that the Redwood site will be uninterrupted, timely, or error free; nor do they make any warranty as to the results that may be obtained from use of the site or communications, or as to the accuracy, reliability, or content of any information, service, or goods provided in connection with the Redwood site or communications.
Redwood is not responsible for any failure to perform any obligation under these Terms and Conditions due to a matter beyond its reasonable control, including (but not limited to) fire, flood, explosion, war, civil disorder, industrial disputes (whether or not involving its employees), or other disasters or governmental laws and regulations imposed after the fact, or events beyond the reasonable control of Redwood or its affiliates, licensors, contributors, or agents, neither Redwood nor its affiliates, licensors, contributors, or agents will have any liability for that failure to perform.
Your use of the Internet is solely at your own risk and subject to all applicable laws, and Redwood has no responsibility for any information, software, services or other materials accessed or obtained by you using the Internet. A variety of hardware and software is currently available and as such we do not guarantee that this website or newsletter will be compatible with all hardware and software which you may use. We will not be liable to you for damage to your computer equipment, software, data or other materials caused by you accessing our site, or your downloading of any materials, data, text or images or for any damage caused by viruses that may affect your computer equipment.
Whilst we will always strive to prevent unauthorised access to, or the introduction of viruses into our site or communications service, we can make no representation that the site or communications are free from infection by viruses, Trojan horses, worms or anything else that has contamination or destructive policies.
To the full extent permissible by law, in no event will Redwood or its affiliates, licensors, contributors, or agents be liable for any damage or loss (including, without limitation, financial loss, loss of profits, loss of business or any indirect or consequential loss), however it arises, resulting from the use of or inability to use this website or communications or any material appearing on it or from any action or decision taken as a result of using the website or communications or any such material.
Indemnification
You agree to defend, indemnify and hold harmless Redwood, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses (including legal fees) arising out of your use of the Redwood site and newsletter.
Monitoring
We have the right, but not the obligation, to monitor the service to determine compliance with this agreement and to satisfy any law, regulation or authorised government request. Without limiting the foregoing, we shall have the right to remove any content that we, in our sole discretion, find to be in violation of the provisions contained herein or otherwise objectionable or in breach of our licensors’ obligations.
Revisions
These terms may be changed by Redwood at any time. Any changes will be posted on our site. Your continued use of the site and communications after notice of the new agreement constitutes your acceptance of it.
Termination
Either Redwood or you may terminate this agreement at any time. Without limiting the foregoing, we have the right to immediately terminate your registration in the event that you breach this agreement. If your registration is terminated, you are and will remain responsible for all charges incurred up to the time of termination. The provisions of this agreement barring user responsibilities and changes to the Redwood site shall survive termination of this agreement.
Miscellaneous
These terms and conditions shall be interpreted in accordance with the Laws of England and any dispute shall be subject to the exclusive jurisdiction of the English Courts
